Terms and conditions
Last updated: 25 October 2026
The short version
- We do our best, and will tell you when something isn’t possible.
- We take responsibility for our work. Our liability is limited.
- We keep your information confidential and handle personal data under a data processing agreement.
- Dutch law applies to all our services. If we disagree, we will first try to sort it out together.
1. About these terms
1.1Nemvo is a general partnership (vennootschap onder firma) registered in the Netherlands with the Chamber of Commerce (KvK) under number [00000000]. In these terms, “we” and “us” mean Nemvo.
1.2“You” means the business or organisation that asks us for a quote or enters into an agreement with us. “Services” means everything we do for you, such as managed IT, support, advice, projects, and the delivery or management of software, cloud services and hardware.
1.3These terms are written for business clients. If you are a consumer, you keep all rights that Dutch consumer law gives you.
2. When these terms apply
2.1These terms apply to all our quotes, agreements and services.
2.2Your own general terms do not apply, unless we have agreed to them in writing.
2.3If part of these terms turns out to be invalid, the rest still applies. We then replace that part with a fair rule that comes as close as possible to what was meant.
2.4If a quote or agreement says something different from these terms, the quote or agreement wins.
3. Quotes and agreements
3.1Our quotes are valid for 30 days, unless the quote says otherwise.
3.2An agreement starts when you accept our quote in writing (an email is enough).
3.3Changes to an agreement are only valid once we have both confirmed them in writing. If you ask for extra work, we let you know the costs before we start.
4. Our services
4.1We describe what we do for you in the quote or service description. What is not described there is not included, but we are always happy to discuss it.
4.2We carry out our services carefully and to the best of our knowledge and ability. This is an obligation to make reasonable efforts (inspanningsverplichting), unless we have explicitly agreed on a specific result.
4.3We may ask third parties, such as specialists or suppliers, to help carry out the work. We remain your point of contact.
4.4Some services depend on products of other companies, such as Microsoft or a hosting provider. Their own terms also apply to those products, and we cannot guarantee how they perform.
5. What we need from you
5.1You give us the information, access and cooperation we need, on time. If that is missing, we may have to postpone the work and charge any extra costs.
5.2You make sure that the information you give us is correct and complete.
5.3You are responsible for how your people use your systems, and for having the right licences, unless we have agreed that we arrange them.
6. Prices and payment
6.1Our prices are in euros and exclude VAT, unless stated otherwise.
6.2We charge either a fixed price, an hourly rate, or a fee for subscriptions and managed services, as stated in the quote. Monthly fees are invoiced in advance each month, and annual subscriptions in advance for the whole year. Other work is invoiced afterwards or as agreed.
6.3You pay our invoices within 14 days of the invoice date unless otherwise agreed.
6.4If you pay late, we send you a reminder first. If you still don’t pay, you owe the statutory commercial interest (wettelijke handelsrente) and reasonable collection costs. We may also suspend our services until the invoice has been paid.
6.5We may adjust our prices once a year in line with inflation (CBS consumer price index). If suppliers such as software vendors raise their prices, we may pass this on.
7. Duration and ending
7.1Projects end once the work is done.
7.2Subscriptions and managed services run for the period in the quote, either per month or per year.
7.3Monthly subscriptions continue month by month until you cancel them. Annual subscriptions are renewed for another year each time, unless you cancel them in time.
7.4You can cancel a subscription or managed service in writing, with three months’ notice. For an annual subscription, your cancellation must reach us at least three months before the end of the current year.
7.5Annual subscriptions are paid in advance for the whole year. If you cancel, the subscription runs until the end of that year and we do not refund the remaining months. If the agreement ends early because we are seriously in breach of it, we refund the part you paid for the remaining period.
7.6We may end an agreement straight away if you are seriously in breach of it and do not fix this after a written reminder, or if you go bankrupt or are granted a suspension of payments.
7.7When an agreement ends, we help you hand everything over to yourself or to a new provider, including access and passwords. We charge our normal hourly rate for this work. We delete your data no later than 60 days after the end of the agreement, unless the law requires us to keep it.
8. Support and availability
8.1Our support is available on working days from 9:00 to 17:00 Dutch time, unless agreed otherwise. Response times are set out in the quote or service description.
8.2We sometimes need to carry out maintenance. Where possible, we do this outside office hours and let you know in advance.
8.3No IT system is ever completely free of faults. We cannot guarantee that systems and services will work without interruption.
9. Confidentiality and personal data
9.1We both keep each other’s confidential information confidential, also after the agreement has ended.
9.2If we process personal data on your behalf, you are the controller and we are the processor. We then agree on this in a data processing agreement (verwerkersovereenkomst).
9.3How we handle personal data for our own business is explained in our privacy statement.
10. Intellectual property
10.1You may use everything we create for you, such as configurations, scripts and documentation, for your own organisation once you have paid for it.
10.2We keep the rights to our own knowledge, methods and general tools, and may use them for other clients.
10.3Software and services from third parties remain theirs. You use them under their licence terms.
11. Liability
11.1If we fall short in our services, you first give us written notice and a reasonable period to put things right.
11.2Our total liability is limited to the amount we invoiced you under the agreement concerned in the 6 months before the damage occurred. If our insurance pays out, our liability is never more than the amount it pays.
11.3We are not liable for indirect damage, such as lost profit, missed savings or business interruption, or for loss of data, unless we were responsible for the backups concerned and failed to make them as agreed.
11.4We are not liable for faults in products or services of third parties, such as outages at Microsoft or a hosting provider.
11.5These limits do not apply if the damage is caused by intent or deliberate recklessness (opzet of bewuste roekeloosheid) on our part.
11.6Any claim must be made within one year after you became aware, or could reasonably have become aware, of the damage.
12. Force majeure
12.1We are not responsible for failing to meet our obligations because of circumstances beyond our control (overmacht), such as large-scale outages of internet, power or third-party services, or cyberattacks despite reasonable security measures.
12.2If force majeure lasts longer than 60 days, either of us may end the agreement in writing. We then settle what has already been done.
13. Changes to these terms
13.1We may change these terms. We let you know at least 30 days before the changes apply to your agreement.
13.2If you do not agree with a change, you may end the agreement on the date the change takes effect.
14. Dutch law and disputes
14.1Dutch law applies to all our quotes, agreements and services. The Vienna Sales Convention (CISG) does not apply.
14.2If we disagree, we first do our best to find a solution together. If that fails, the dispute goes to the competent court in Rotterdam (rechtbank Rotterdam).
